Job Summary
The Manager Legal and Compliance will ensure the company complies with applicable laws and industry regulations, safeguards its legal interests, and resolves legal matters promptly and accurately. The role also includes company secretarial duties and responsibility for maintaining board affairs.
Key Duties and Responsibilities
Regulatory Compliance & Risk Management
- Ensure the company is fully compliant with all applicable legislations and Government instruments.
- Ensure flawless and timely execution of all statutory filings to the relevant regulatory bodies.
- Establish centralized dashboards to track license expiration timelines, corporate permit renewals, and upcoming legislative revisions.
- Monitor changes in legislations to determine operational impacts and report accordingly to Management.
- Implement proactive risk and control self-assessments to flag operational vulnerabilities before they lead to regulatory non-compliance. Build strategic rectification frameworks.
- Formulation of internal corporate policies and comprehensive standard operating procedures.
Legal Advisory & Contract Management
- Provide strategic legal opinions on operations, employment laws, tax implications, and all other legal matters.
- Provide authoritative, actionable legal advice to senior executives and business units.
- Timely handling of all reported legal and compliance breach related complaints.
- Litigation oversight- Supervise disputes and ongoing lawsuits, draft court briefings, and coordinate directly with external legal counsel to maximize cost-effectiveness.
- Draft, negotiate, and review corporate agreements, partner contracts, vendor service level agreements, nondisclosure agreements, and legal instruments.
- Ensure all business agreements explicitly safeguard organizational interests and mitigate commercial risks.
Company Secretarial Duties & Corporate Governance
- Coordinate and schedule all Board of Directors, Shareholder, and sub-committee meetings.
- Draft meeting agendas, distribute board packs in a timely manner.
- Attend all statutory corporate meetings to record, draft, and secure precise signed minutes and formal resolutions.
- Record keeping – Primary custodian of the corporate seal, maintaining all statutory registers, including directors, share registers and share transfer records.
- Director onboarding – Facilitate training, inductions, and development programs for new board members.
- Manage corporate communications with Board of Directors and Shareholders.
- File legal documents and annual returns with business registries and regulators.
- Provide expert guidance to Board Members and Executive Management on evolving corporate governance frameworks, fiduciary duties, and risk frameworks.
Qualifications, Skills and Experience
- Bachelor of Laws (LLB) degree from an accredited university. A Master of Laws (LLM) or Postgraduate Diploma in Legal Practice is an added advantage.
- Fully qualified member or certified professional with a recognized corporate governance body, such as the Chartered Governance Institute (ICSA) is an added advantage.
Experience Profile
- Tenure: Minimum of 5 to 7 years of combined professional experience in corporate commercial law, statutory compliance, or board administration.
- Leadership: At least 2 years in a senior or managerial capacity leading small-to-mid-sized legal teams.
- Industry Focus: Direct prior experience operating in heavily regulated spaces (e.g., banking, insurance, fintech) is preferred.
Key Competencies
- Drafting Precision: Flawless record-keeping and precise command of language when recording legal minutes or drafting dense cross-border contracts.
- Discretion: Exceptional ethical judgment paired with strict adherence to confidentiality protocols.
